Business & healthcare · Administrative and regulatory capacity

The filings nobody owns are the ones that lapse.

Enrollment windows, license renewals, annual reports, registrations and regulatory updates each run on their own clock. Individually none is difficult. Across an organization they are a continuous administrative front — and they sit with whoever noticed last. We own them.

The position you are in

This work is not difficult. It is relentless, externally timed, and unforgiving.

Administrative and regulatory obligations rarely belong to one department. They sit between operations, finance and legal, which in practice means they sit nowhere until something is overdue. The deadlines are set by agencies and statutes you do not control, and a lapse arrives with consequences already attached.

Nobody owns it

It is everybody's secondary responsibility, which makes it nobody's primary one.

The clock is external

You do not set these dates and cannot negotiate them. They are set by the agency, the statute or the terms of your registration.

Too small to hire for

Not enough work to justify a full-time administrator; far too much to absorb into roles that already exist.

Nothing here is informal

A missed filing doesn't disappear. It becomes part of the record.

Medicare, Medicaid and state regulators keep files the way courts do — permanently, and against you if incomplete. We build yours to stand up to that kind of scrutiny from the start, not to survive a single review and then go quiet.

What we handle

Two tracks: healthcare regulatory, and general corporate administration.

All work is administrative and documentary, performed at your direction. Where a matter requires legal judgment it goes to your counsel — internal or external — not to us.

From acquisition to operational readiness, LEGALWISE coordinates every administrative filing required to get a facility licensed, enrolled and ready for revenue.

Track A · Healthcare operators

Skilled nursing, long-term care and multi-facility operators.

  • Provider enrollment

Medicare Part A (855A) and Part B (855B) enrollment, and state Medicaid enrollment, for institutional providers — from application through approval.

  • Revalidation, credentialing & recredentialing

Scheduled and off-cycle revalidation, CAQH upkeep, credentialing and recredentialing before deadlines lapse.

  • Ownership & transactions

Change of ownership (CHOW), EFT and banking updates, managing-employee and related-party disclosure.

  • Licensure

State facility license applications and renewals, coordinated across every state in the portfolio.

  • Inspection & zoning coordination

Scheduling and document readiness for licensure inspections, and coordination of zoning approvals tied to a facility's operation.

  • Compliance-document packages

Policies, licenses and enrollment confirmations assembled into the package a surveyor, lender or acquirer actually asks for.

What a CHOW actually is. A change of ownership is a regulatory event that occurs when the legal ownership or controlling entity of an enrolled healthcare provider changes. Because Medicare provider agreements, Medicaid enrollments and billing privileges are tied directly to the legal owner of an organization, mismanaging enrollment, revalidation or re-enrollment during a transaction can trigger automatic payment suspensions and severe cash-flow disruption. Most acquired facilities are already enrolled — the work is very rarely fresh enrollment. It is transferring and re-validating existing licensure and billing privileges correctly, inside the window the transaction gives you.
Track B · Business & corporate

Companies, management companies and operators outside healthcare.

  • Entity administration

Formation and qualification filings prepared at your direction, annual reports, biennial statements, registered agent coordination, DBA and assumed name registrations, foreign qualification, dissolutions.

  • Corporate records

Minute book maintenance, resolutions and consents prepared for your counsel's review, cap table and ownership record upkeep, entity registers across multi-entity structures.

  • Contract & lease administration

Contract abstraction and lifecycle tracking, renewal and option-date diaries, lease abstraction, certificate of insurance tracking, vendor document management.

  • Filings & diligence support

UCC searches and filings, business licensing and permits, public record retrieval, due diligence document collection and indexing, data room organization.

  • Grants & government contracting

Grant research, eligibility screening and application preparation for registered charities; SAM.gov registration and maintenance; MWBE, WOSB and DBE certification applications; capability statements and bid-response preparation.

Underneath both tracks

The discipline that keeps a portfolio from quietly falling behind.

Compliance audits & master deadline registers

Every entity, facility, license and filing on one register, audited against what is actually current.

Remediation of rejected or lapsed filings

A stalled application or a lapsed renewal identified and worked back to current status.

Regulatory records & inspection-readiness files

Records organized the way a surveyor or auditor expects to receive them, before the visit, not during it.

Agency correspondence & status follow-up

Applications tracked to a decision rather than left in a queue — correspondence logged, follow-up made on schedule.

Acquisition & closing checklists

The administrative side of an acquisition, expansion or closure sequenced against the transaction timeline.

SOPs for recurring obligations

A written procedure for the filings that recur every year, so the work does not depend on one person remembering.
